About The Role

On behalf of our esteemed client from the telecom industry, we are seeking an experienced and commercially focused professional Legal Counsel & Corporate Affairs Manager to lead all legal, litigation, regulatory, contract management, debt recovery, governance and corporate affairs functions across the Group. The successful candidate shall act as the principal legal advisor and legal representative of the company before courts, tribunals, regulators and other judicial or quasi-judicial forums.

Key Responsibilities

Corporate Legal Advisory
  • Provide legal advice on corporate, commercial, labor, telecom, procurement, tax and regulatory matters
  • Advise management on legal risks and mitigation measures

Contract Management & Commercial Negotiation
  • Draft, review, negotiate and manage all customer, supplier, employment, financing, shareholder and partnership agreements
  • Maintain a contract repository and renewal tracking system
  • Participate in commercial negotiations and transaction structuring

Receivables Recovery & Debt Management
  • Review aged debtor reports and proactively pursue recoveries
  • Issue legal demand notices and recovery correspondence
  • Negotiate settlements and payment plans
  • Initiate legal proceedings for recovery of outstanding debts

Litigation, Advocacy & Legal Representation
  • Represent the Company and affiliated entities before Courts of Law, Tribunals, Arbitration Panels, Regulatory Authorities, Labor Institutions, Tax Authorities, Government Agencies and other judicial or quasi-judicial bodies
  • Prepare and file pleadings, affidavits, witness statements, appeals, applications, legal notices and other legal documents
  • Conduct hearings, mediations, settlement negotiations and dispute resolution proceedings
  • Manage debt recovery cases, contractual disputes, employment disputes and commercial litigation matters
  • Coordinate and supervise external advocates where necessary
  • Recommend and execute legal actions including injunctions, recovery suits, enforcement proceedings, winding-up proceedings and other legal remedies
  • Recover legal costs, damages and claims due to the Company

Regulatory & Compliance Management
  • Liaise with TCRA, TRA, BRELA, PPRA, BOT and other regulators
  • Manage licensing, renewals, compliance filings and regulatory reporting

Tender & Bid Review
  • Review tenders, RFPs, RFQs, bid bonds, guarantees and procurement contracts
  • Identify and mitigate legal and commercial risks

Corporate Governance & Secretarial Support
  • Draft Board Resolutions, Shareholder Resolutions and corporate actions
  • Maintain statutory records and regulatory filings
  • Support mergers, acquisitions, restructuring and investment transactions

Risk Management & Internal Controls
  • Conduct legal due diligence and compliance reviews
  • Develop legal policies, governance frameworks and internal controls

Group Legal Support
  • Provide legal support to telecom company and affiliated group companies
  • Coordinate cross-border legal matters and external counsel

Qualifications & Experience

  • Bachelor of Laws (LLB)
  • Postgraduate Diploma in Legal Practice
  • Advocate of the High Court of Tanzania in good standing
  • Membership in Tanganyika Law Society (TLS)
  • Minimum 5–7 years post-qualification experience
  • Strong experience in litigation, advocacy, debt recovery, commercial contracts and regulatory affairs
  • Experience in Telecommunications, ICT, Infrastructure, Banking or related industries preferred

Key Performance Indicators (KPIs)

  • Contract review turnaround time within 3 working days
  • 100% review of material contracts and tenders
  • Timely issuance of demand notices and recovery actions
  • Reduction in aged receivables and legal exposures
  • Zero regulatory penalties arising from legal non-compliance
  • Monthly litigation and legal risk reporting

Skills & Competencies

  • Excellent legal drafting and advocacy skills
  • Strong litigation and dispute resolution capabilities
  • Proven experience in debt recovery and commercial negotiations
  • Strong understanding of Tanzanian corporate and regulatory laws
  • High ethical standards, confidentiality and leadership ability
